DCC Energy Ltd, Ireland, intends to indirectly acquire 100% of the shares in and thus sole

control within the meaning of Article 3 (1) b of Council Regulation (EC) No 139/2004 of

Shell Direct Austria Gesellschaft m.b.H., Austria.

DCC Energy is active in the sale, marketing and distribution of oil and LPG in Great Britain,

Ireland and Denmark. In the oil distribution business DCC Energy supplies domestic heating

oil, transport fuels and fuel oils to domestic, commercial, agricultural and industrial customers

as well as on a wholesale level to smaller distributors in Great Britain, Ireland and Denmark.

In the LPG business, DCC Energy supplies propane and butane in both bulk and cylinders to

domestic, commercial, agricultural and industrial customers for heating, cooking, transport

and industrial processes as well as to smaller distributors. DCC Energy is also active in the

sale of fuel cards for motor fuel via a portfolio of fuel cards under several brands.

SDA is primarily active in the segment of home heating and business-to-business fuels in

Austria. In the home heating segment SDA delivers domestic heating oil to residential end

consumers. The business-to-business segment consists of SDA primarily focusing on the sale,

marketing, and distribution of fuel products, concentrated on the sale of (bulk) fuels to

business-to-business customers as inter alia smaller resellers for a variety of uses. Its main

product for the business-to-business segment is diesel.
