SECTION 1.2

Description of the concentration

The notified concentration concerns the proposed acquisition of joint control by funds respectively advised by TA Associates Management L.P. (“TA Associates”) and Vista Equity Partners Management, LLC (“Vista”) of iCIMS Holdings LLC (“iCIMS”) (the “Proposed Transaction”). iCIMS is the “Target”, and each of TA Associates, Vista, and the Target, is a “Party”, together the “Parties”. iCIMS is currently solely controlled by Vista.

The concentration will be accomplished by way of purchase of shares, as funds advised by TA Associates will acquire approx. 43% of the shares of the Target.

TA Associates is a private equity firm based in Boston, Massachusetts, USA and active in North America, Europe and Asia. TA Associates has portfolio companies active in selected industries, including business services, consumer, financial services, healthcare and technologies.

Vista is a United States based investment firm focused on empowering and growing enterprise software, data and technology-enabled businesses.

iCIMS, based in New Jersey, United States, is a provider of human resources software to help with staff recruitment and onboarding.
