SECTION 1.2

Description of the concentration

By virtue of the notified transaction, the investment funds Stirling Square Capital Partners Fourth Fund and TA Associates intend to acquire, indirectly through their jointly controlled joint venture company Byggfakta Group, joint control over Williams Topco Limited, the ultimate holding company of the NBS group (“NBS”) within the meaning of Article 3(1)(b) of the EU Merger Regulation.

SSCP Fourth Fund

SSCP Fourth Fund is an investment fund that seeks to make, hold, monitor and realise controlling investments, principally in unquoted equity and equity-linked instruments via management buy-outs, management buy-ins, growth capital and other private equity transactions throughout Europe. SSCP Fourth Fund is one of three private equity funds managed or advised by members of the Stirling Square Capital Partners group.

TA Associates, headquartered in the US, is a private equity firm focused on targeted sectors within five industries – technology, healthcare, financial service, consumer and business services.

Byggfakta Group

Byggfakta Group Nordic Holdco AB, headquartered in Sweden, principally provides market data and market intelligence services to companies in the Nordic construction industry, as well as the Nordic property and healthcare sectors.

NBS, headquartered in the United Kingdom, provides Software as a Service ("Saas") based platforms to Architecture, Engineering & Construction ("AEC") professionals which are aimed at connecting users with data to improve outcomes in the construction design process. It offers two platforms, Chorus, a construction project specification management tool and Source, a product information tool.
