SECTION 4

Description of the concentration

(1) This notification concerns the following undertakings:

(a) KKR & Co. Inc. (“KKR & Co.” and together with its subsidiaries, “KKR”), Delaware, United States; and

(b) Infracapital Greenfield Partners II (Euro) SCSp and Infracapital Greenfield Partners II (Sterling) SCSp, investment funds acting by their manager M&G Alternatives Investment Management Limited (“MGAIM") and forming part of M&G plc’s (“M&G") infrastructure investment business, Infracapital (“Infracapital”), United Kingdom. MGAIM is a wholly-owned subsidiary of M&G.

(2) On 15 September 2023, KKR and Infracapital notified their intention to acquire indirect joint control of Zenobe Energy Limited (“Target”) within the meaning of Articles 3(1)(b) and 3(4) of Council Regulation (EC) No 139/2004.

(3) The concentration will be accomplished by way of acquisition of shares.

(4) The business activities of the undertakings concerned are as follows: (a) KKR is a global investment firm that offers alternative asset management as well as capital markets and insurance solutions.

(b) Infracapital is a European infrastructure investment firm.

(c) Target is a company headquartered in the United Kingdom. It provides end-to-end solutions for fleet electrification, including charging infrastructure, battery replacement and software solutions. In addition, Target designs, finances, builds and operates battery energy storage systems and repurposes batteries.
