SECTION 1.2
Description of the concentration
On July 11, 2006, the Commission received a notification of a concentration pursuant to Article 4 of Council regulation (EC) No 139/2004 by which Arnoldo Mondadori Editore S.p.A. (ìMondadoriî), a subsidiary of Fininvest Finanziaria díInvestimento S.p.A., will acquire sole control over Emap International Magazines SAS (ìEmap Franceî) through acquisition of all the share capital of Emap France, currently held by Emap Consumer Media Ltd, a subsidiary of Emap plc.
The business activities of the undertakings concerned are:
-- Mondadori is mainly active ñ directly and/or through its subsidiaries and/or connected companies ñin Italy in the field of publishing and distribution of books and magazines, as well as printing and radio,
-- Emap France is mainly active in the field of publishing and distribution of French-language magazines, mainly in France, and, to a marginal extent, of publishing and distribution of books in France.
