SECTION 4

Description of the concentration

The notified transaction concerns the acquisition of joint control within the meaning of Article 3(1)(b) and 3(4) of the EUMR by Medlog S.A. (Medlog), an indirect wholly-owned subsidiary of MSC Mediterranean Shipping Company Holding S.A. (together with its subsidiaries, MSC Group), Henri Essers En Zonen Internationaal Transport NV (Essers) and J.M. Recycling NV (Machiels) over Port of Limburg NV (POLIM).

Medlog, incorporated in Switzerland, provides multimodal inland transportation and storage solutions for customers across more than 80 countries.

MSC Group is a privately owned global business engaged in the transport and logistics sector, primarily active in ocean liner shipping. MSC Group is also active in deep- and short-sea container terminal services in the EEA via its jointly controlled subsidiary Terminal Investment Limited and Marinvest.

Essers, incorporated in Belgium, provides transport, logistics and warehousing solutions across 18 countries in Western and Eastern Europe. This includes inland transportation services by truck and rail in Belgium. Additionally, Essers operates a barge terminal outside the catchment area of POLIM, in Bergen op Zoom, the Netherlands.

Machiels, incorporated in Belgium, has activities in Belgium, Chile, Morocco, South Africa and the rest of the world. Machiels is a global provider of renewable energy, environmental services, and a real estate developer. Machiels jointly controls Haven Genk, an inland container terminal in Genk.

Essers and Machiels each currently hold 50% of POLIM’s share capital. Upon completion, Medlog, Essers and Machiels will exercise joint control over POLIM. The concentration will be accomplished by way of purchase of shares.

POLIM is a limited liability company established for developing and operating an inland container terminal along the Albert Canal in Genk, Belgium. POLIM is set to be operational by the first Quarter of 2025. POLIM will offer inland container terminal services and inland transportation services by barge and road.
