SECTION 1.2

Description of the concentration

On 11 September 2018, the Commission received notification of a proposed concentration pursuant to Article 3(1)(b) of Council Regulation (EC) 139/2004 involving the acquisition by PAI Partners of sole control of Asmodee. The parties have requested treatment of the concentration under the Commission Notice on a simplified procedure for treatment of certain concentrations.

The primary business activities of the undertakings concerned are:

-- PAI Partners: a private equity company headquartered in France that manages and/or advises a number of funds that own companies active in a variety of business sectors, such as business services, food and consumer goods, general industries, healthcare, and retail and distribution.

-- Asmodee: a French-based group active in the publishing and distribution of games (board games, card games and their digital versions), and in the licensing of these games.
