SECTION 1.2
Description of the concentration
1. The notified transaction concerns the proposed acquisition of joint control by CDP and OGG,
over TAG GmbH, a Joint Venture currently controlled by the OMV Group and the ENI Group. More
precisely, the Transaction consists of the takeover by CDP of ENI’s stake in the Target Business.
2. As a result of the Transaction, CDP will acquire ENI’s 89% shareholding in the Target Business.
Following the Transaction, the corporate governance rules currently existing between ENI and OGG
will remain in force and fully binding between CDP and OGG. As a result, CDP and OGG will exert
joint control over the Target Business.
3. The Transaction is part of the commitments submitted by ENI in the context of Commission’s
proceeding COMP/39.315.
4. The notified Transaction will not have any impact on competition, as CDP is not active in the
same market of the Target Business, nor in any vertically related markets.
