Description of the concentration

The Commission has received notification of the acquisition of sole control within the meaning of Article 3(1)(b) of the Merger Regulation by Shell Plc (through a wholly-owned subsidiary) (together referred to as "Shell Group") over Pavilion Energy Pte. Ltd ("Pavilion" or the "Target").

Shell Group: Shell is a globally active group of energy and petrochemical companies. Shell Plc, the group's parent company, is a company incorporated under the laws of England and Wales and listed on the London, New York and Amsterdam Stock Exchanges. The main business activities of the Shell group are: oil and gas exploration, production, manufacturing, marketing and shipping of oil products and chemicals, and renewable energy products.

Pavilion: Pavilion is a Singapore-based global LNG platform that trades and markets natural gas in Asia and Europe. Pavilion's activities span Liquified Natural Gas (LNG) trading, storing, processing and shipping, as well as activities in downstream markets in Asia and Europe. Pavilion is also active in marine fuel and energy financial solutions.
