SECTION 4
Description of the concentration
This notification concerns the following undertakings:
DKV Mobility Group (“DKV Mobility”), Germany, ultimately controlled by Mr. Jan Fischer, Smart Diesel S.R.L. (“Smart Diesel”), Romania, jointly controlled by DKV Mobility Group and Mr. Ovidiu-Ioan Andrieș (via Smart Invest Holdco S.A.), Tax Refund S.R.L. (“Tax Refund”), Romania, jointly controlled by DKV Mobility Group and Mr. Ovidiu-Ioan Andrieș (via Smart Invest Holdco S.A.).
DKV Mobility, through its wholly-owned subsidiaries DKV Beteiligungsgesellschaft mbH and ERS Beteiligungsgesellschaft mbH, will acquire, within the meaning of Article 3 (1), point (b) of the Merger Regulation, sole control of Smart Diesel and Tax Refund. The concentration is accomplished by way of purchase of shares.
The business activities of the undertakings concerned are:
a. for DKV Mobility Group – mainly active in the sale of fuel cards for conventional fuel, alternative fuels and electric charge cards for electric vehicles; DKV Mobility Group also offers toll payment solutions, mobility solutions (i.e., parking, rental service, repairing of the vehicle, and innovative digital solutions, among others) and the provision of tax refund services of VAT and other taxes;
b. for Smart Diesel S.R.L. – issuance and resale of fuel cards/ provision of road toll payment services;
c. for Tax Refund S.R.L. – VAT and other taxes refund services.
