SECTION 1.2
Description of the concentration
The notified concentration concerns Munksjö’s proposed acquisition of Arjowiggins’ decor paper, thin paper, fine art paper and abrasive paper businesses. The contemplated concentration will be carried out through Arjowiggins’ transfer of all shares in Arjowiggins Arches SAS (France) and Arjo Wiggins Deutschland GmbH (Germany), which hold Arjowiggins’ two paper mills in Arches and Dettingen, to one or more of Munksjö AB’s wholly-owned subsidiaries for a cash consideration. After completion of the concentration, Munksjö will have sole control over Arjowiggins’ decor paper, thin paper, fine art paper and abrasive paper businesses.
Munksjö is a Swedish based manufacturer of high value-added paper products in six product areas; decor, pulp, electrotechnical paper, Spantex, thin paper and Inpak.
Arjowiggins is a French based manufacturer of creative and technical paper.
