SECTION 1.2

Description of the concentration

APG intends to acquire by way of acquisition of shares sole control from DIF over a portfolio as a whole of forty-eight project companies active in the infrastructure sector in Belgium (education and road projects in particular), France (wind farms, solar plants, motorways as well as hospitals, public buildings and housing projects), Germany (wind farm and solar plants), Ireland (motorways and education projects), the Netherlands (education, motorways, waste treatment and other public facilities projects) and the UK (education, public lighting, public facilities and housing projects in particular).

APG Asset Management N.V. is the asset management subsidiary of APG Groep N.V. headquartered in the Netherlands. APG provides services such as executive consultancy, asset management, pension administration, pension communication, and employers' services. These activities are performed on behalf of collective pension schemes and employers in the education, government, and construction sectors, cleaning and window-cleaning companies, housing corporations and energy and utility companies, as well as social or sheltered employment.
