SECTION 1.2

Description of the concentration

The notified transaction involves the acquisition of the 100 % shareholding of OKD Nástupnická, a.s., seated Karviná, the Czech Republic by PRISKO a.s., a special purpose entity controlled by the Czech Ministry of Finance. The relevant share purchase agreement was executed on 6th April 2017 by and between PRISKO a.s. and OKD, a.s. OKD a.s. is the parent company of OKD Nástupnická, a.s., it is undergoing the insolvency court driven reorganization proceedings and still formally belongs to the NWR group of companies. OKD a.s. is currently managed by the insolvency trustee.

The transaction only becomes effective after several conditions precedent shall have been completed including the increase of the registered capital of OKD Nástupnická, a.s. by way of a contribution-in-kind of the enterprise of OKD a.s. as the major Czech hard coal producer and obtaining the required merger clearance from the European Commission. Then, OKD Nástupnická, a.s. should effectively take-over the core business of OKD a.s. and continue the production and distribution of hard coking coal and hard thermal coal within the region of Moravia-Silesia.
