SECTION 1.2
Description of the concentration
A Virgin Group company and Carphone Warehouse Group PLC ("CPW") intend to set up a new full function joint venture performing on a lasting basis all the functions of an autonomous economic entity for the purposes of section 3(4) of the EC Merger Regulation. The joint venture, as an MVNO, will offer mobile telecommunications services to consumers in France.
CPW will be transferring its existing French mobile telecommunications business which has been operated by Omer Telecom SAS mainly in the French region of Brittany to the new joint venture.
The Virgin Group currently has no telecommunications business in France.
