Description of the concentration
This notification relates to the acquisition by Trafigura Holding S.à.r.l (“Trafigura Holding”, incorporated in Switzerland), which is an indirect wholly-owned subsidiary of Trafigura Group Pte. Limited (“Trafigura”, incorporated in Singapore), of 50% of the issued share capital of Meroil Tank, S.L. (“Meroil Tank”, incorporated in Spain). Meroil Tank is currently 50% owned by Meroil S.A. and 50% owned by Meroil Sun Light 3, S.L.U., a subsidiary of Meroil S.A. (the “Transaction”). As a result of the Transaction, Meroil, S.A and Trafigura will acquire joint control over Meroil Tank.
The Transaction is a concentration within the meaning of Article 3(1)(b) of the Council Regulation (EC) 139/2004.
Trafigura is an independent commodity trader, specialising in the energy, minerals and metals markets. It is active in two main lines of business, namely physical commodity trading and related logistics including shipping and chartering, and various activities relating to industrial infrastructure.
Meroil S.A is engaged in operations relating to the wholesale of petroleum products to independent customers (service stations, distributors of gasoil to retail and business customers), retail commercialisation through its own network of service stations, storage of petroleum products and, on a residual basis, trading activity.
Meroil Tank is active in Spain only, where it is active in the market for the provision of storage of petroleum products and in particular, the rental of storage capacity for petroleum products at its (only) logistics site in Barcelona to third parties and to its parent companies.
