SECTION 4

Description of the concentration

This notification concerns the following undertakings:

− Ameropa DG Holding A.G. (“Ameropa Holding”), with Switzerland as country of origin, part of Ameropa group of companies (“Ameropa Group”) ultimately controlled by TIPA Holding A.G.,

− Fertinagro Biotech International, S.L.U. (“FBI”), with Spain as country of origin, Switzerland controlled by Fertinagro Biotech S.L. and

− Ameropa Biotech S.R.L. (“Ameropa Biotech”), with Romania as country of origin, part of Ameropa Group, controlled by Ameropa Holding and ultimately controlled by TIPA Holding A.G.

Ameropa Holding and FBI (together referred as the “Parties”) acquire, within the meaning of Article 3(1), point (b) and Article 3(4) of the Merger Regulation, joint control of Ameropa Biotech S.R.L.

The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are:

a. for Ameropa Holding: agri-business covering chemical fertilizers, grains and petrochemicals, with activities that span the full supply chain, ranging from production, through logistics and merchandising, to distribution; an important activity is the physical global merchandising and distribution of fertilizer, food & feed products, which is supported and enabled by complementary assets, such as silos, warehouses and port facilities, as well as upstream assets such as fertiliser production plants.

b. for FBI: producer and trader of various categories of fertilizers – complex chemical fertilizers, liquid fertilizers, water-soluble fertilizers, biostimulants and other (micro)nutrients, organic fertilizers.

c. for Ameropa Biotech: wholesale of fertilisers.
