SECTION 4

Description of the concentration This notification concerns the acquisition by the Turkish airport operator TAV Airports (ultimately controlled by Aéroports de Paris S.A.) of 49% of shares in and joint control – together with Germany-based airport operator Fraport AG - over Fraport TAV Antalya Terminal İşletmeciliği. The transaction constitutes a notifiable concentration pursuant to Art. 1(2), 3(1)(b), 3(4) and 4(1) of the EU Merger Regulation.

Fraport TAV Antalya Terminal İşletmeciliği operates the passenger terminals at the airport of Antalya in Turkey pursuant to a concession agreement with the General Directorate Of State Airports Authority of Türkiye

TAV is a listed Turkish airport operator based in Istanbul and operating airports in Turkey notably (Antalya Airport, Ankara, Izmir, Bodrum and Gazipasa) as well as duty free shops, F&B outlets, airport lounges and provides ground handling and security services.

Fraport is a publicly listed German stock corporation and the parent company of Fraport Group, which is active in the airport operations business. The main site of Fraport Group is Frankfurt Airport.
