1 Final Report of the Hearing Officer
1.1. On 13 May 2022, the European Commission received notification of a proposed concentration pursuant to Article 3(1)(b) of Council Regulation (EC) No 139/2004 (the ‘Merger Regulation’) by which MOL Hungarian Oil and Gas Plc. (‘MOL’ or the ‘Notifying Party’) intends to acquire from the OMV Group sole control over OMV SLOVENIJA, trgovina z nafto in naftnimi derivati, d.o.o. (‘OMV’) (the ‘Proposed Transaction’). For the purposes of this report, MOL and OMV are together referred to as the ‘Parties’.
2.2. On 22 June 2022, the Commission adopted a decision to initiate proceedings pursuant to Article 6(1)(c) of the Merger Regulation (the ‘Article 6(1)(c) Decision’), in which it raised serious doubts as to the compatibility of the Proposed Transaction with the internal market and with the functioning of the EEA Agreement.
3.3. On 2 July 2022, the Parties submitted written comments on the Article 6(1)(c) Decision.
4.4. On 15 July 2022, the Commission adopted two decisions pursuant to Article 11(3) of the Merger Regulation (the ‘Article 11(3) Decisions’), requiring the Parties to supply certain information. The Article 11(3) Decisions suspended the time limit referred to in Article 10(3) of the Merger Regulation, pursuant to Article 10(4) of the Merger Regulation. The Parties complied with the information requests contained in the Article 11(3) Decisions on 17 March 2023, which ended the suspension of the above-mentioned time limit.
5.5. Throughout the proceedings, the Commission had numerous exchanges with the Parties, the Parties’ competitors and customers concerning, in particular, the effects of the Proposed Transaction on competition and possible commitments.

6.6. On 17 March 2023, MOL submitted commitments, with a view to rendering the Proposed Transaction compatible with the internal market and the functioning of the EEA Agreement, pursuant to Article 8(2) of the Merger Regulation (the ‘Commitments’). On 20 March 2023, the Commission launched a market test of the Commitments. The Parties were informed by the Commission about the results of the market test on 30 March 2023.
7.7. The draft decision declares the Proposed Transaction compatible with the internal market and the EEA Agreement, subject to compliance with the Commitments.
8.8. In view of all of the above, I consider that the effective exercise of the procedural rights has been respected in the present proceedings.
