SECTION 1.2

Description of the concentration

On 10 February 2023, the European Commission received the notification of a proposed transaction pursuant to Article 4 of Council Regulation (EC) No. 139/2004 ("EU Merger Control Regulation") by which Magna International Inc. (“Magna”) through its subsidiary Magna International (Hong Kong) Limited (“MIHK”) and Minth Group Limited (“Minth”) though its subsidiary Zhejiang Minth Science & Technology Co., Ltd. (“ZMT”) intend to acquire joint control within the meaning of Article 3(1)(b) and 3 (4) of the EU Merger Control Regulation over a newly-established joint venture company (the “Joint Venture”) that will be active in the design, development, manufacture and sale of front/rear fascia assembly and plastic liftgates and liftgate systems to the customers in the Anhui Province, as well as other territory in the People´s Republic of China (including mainland China, the Hong Kong Special Administrative Region, the Macau Special Administrative Region and Taiwan region) (jointly referred to as the “Territory”). The Joint Venture`s customers will be the original equipment manufacturers with assembly plants already established or may in future be established in the Territory (the “Proposed Transaction”).

The primary business activities of the undertakings concerned are as follows:

-- Magna, with its headquarters in Ontario, Canada is a global automotive supplier which designs, engineers and manufactures components, assemblies, systems, subsystems and modules for original equipment manufacturers of passenger cars and light commercial vehicles in North America, South America, Europe, Asia and Africa.

-- Minth is primarily engaged in the design, manufacturing and sale of trims, decorative parts, body structural parts and other related auto parts.

-- The JV will be based in PRC and shall be active in the design, development, manufacture and sale of front/rear fascia assembly and plastic liftgates and liftgate systems to the customers in the Anhui Province, as well as other territory in the PRC (including mainland China, the Hong Kong Special Administrative Region, the Macau Special Administrative Region and Taiwan region).
