SECTION 1.2

Description of the concentration

1.1. The proposed transaction concerns the acquisition of sole control by Alpha Flight Group Limited (Alpha) over Alpha LSG Limited (ALSG) by way of purchase of shares. ALSG is a joint venture between Alpha and LSG/Sky Chefs Europe Holdings Limited (LSG) combining these two companies’ activities in in-flight catering services in the UK. Alpha is a wholly-owned subsidiary of dnata which is the air services provider of the Emirates Group. ALSG and LSG’s seat of registration is England.

2.2. Currently, Alpha and LSG are equal partners in ALSG, with each holding 50% in the joint venture. On 29 November 2019, Alpha entered into a binding share purchase agreement with LSG to purchase the 50% of the issued share capital of ALSG held by LSG. The agreement is conditional only upon competition clearance from the European Commission.

3.3. Alpha is engaged in providing in-flight catering services to a number of international airlines and has a presence in eleven countries in the Middle East, the USA, Australia and Europe, and through ALSG at 17 airports in the United Kingdom. Alpha’s seat of registration is England.

4.4. Alpha is wholly owned by dnata. Dnata is engaged in the provision of airline services, including passenger handling, cargo handling, ramp, maintenance and other technical services for airlines in a number of countries worldwide. Dnata also acts as general sales agent for a number of airlines in the UAE. Dnata is a Dubai decree corporation with its head office in Dubai, United Arab Emirates and ultimately controlled by the Government of Dubai.

5.5. Alpha, through ALSG, provides air services to Emirates airline. Emirates is a sister company of dnata. Emirates is one of the world’s leading airlines with its hub in Dubai. Emirates is a Dubai decree corporation with its head office in Dubai, United Arab Emirates and ultimately controlled by the Government of Dubai. It serves eight UK airports: Birmingham, Edinburgh, Glasgow International, London Gatwick, London Heathrow, London Stansted, Manchester and Newcastle. Emirates’ seat of registration is United Arab Emirates.
