M.8148 – Brisa/Áreas/Brisáreas
1.1. This notification relates to the proposed creation by Brisa and Áreas of the full function joint venture BAS within the meaning of article 3(4) and 3(1)(b) of Regulation (EC) No. 139/2004.
2.2. Brisa is mainly active at the national and international levels in the following fields: (i) construction, maintenance and operation of motorways concessions (total of 1,678 km in length); (ii) provision of services ancillary to road mobility, in particular the ‘Via Verde’ service; and (iii) the provision of car inspection services (through Controlauto).
3.3. Áreas provides meals in a system of concession foodservices at airports, railway stations, motorway service areas and recreational areas. In Portugal, Áreas provides food services at airports and motorways. As regards the airports, Áreas is present at four Portuguese airports, namely Lisbon, Oporto, Faro and Funchal. As to the motorways, Áreas provides its services at A2 (Almodôvar service station), A1 (Antuã, Leiria, Aveiras service stations), A4 (Águas Santas service station) and A8 (Óbidos service station).
4.4. BAS intends to perform the management, operation and commercial development of the service areas located in certain low-traffic stretches of named motorways included in the concession of Brisa Concessão Rodoviária, S.A..
5.5. BAS will take over, on a long-term basis, all food activities in designated service areas, whereas the operation of the fuel stations and their respective convenience stores in each service area under BAS’s responsibility will be awarded to fuel companies through a tendering procedure held for that purpose.
