On 11 February 2016, World Fuel Services Corporation (WFS) announced that through certain wholly owned subsidiaries it had entered into a business sale agreement with certain affiliates of Exxon Mobil Corporation (Exxon). As a result of the Proposed Transaction, WFS will acquire sole control over the aviation fuels business conducted by Exxon through various subsidiaries at certain airports worldwide within the meaning of Article 3(2) of Council Regulation 139/2004.
In the EU, this concerns Exxon's aviation fuels business at the following 25 airports: Bordeaux, Nice, Paris-Le Bourget, Anklam, Berlin Tegel, Bremen, Cologne, Dresden, Dusseldorf, Frankfurt, Leipzig, Muenster, Naples, Olbia Costasmeralda, Alghero Fertilia, Catania Fontanarossa, Milan Linate, Palermo Punta Raisi, Rome Fiumicino, Liverpool, Birmingham, Manchester, Bournemouth, Luton and Southampton.
WFS is a global fuel logistics, transaction management and payment processing company, principally engaged in the distribution of fuel and related products and services in the aviation, marine and land transportation industries. WFS sells fuel and delivers services to its clients at more than 8,000 locations in more than 200 countries and territories worldwide.
Exxon is active in exploration, production and sale of crude oil and natural gas, and the refining and marketing of petroleum products. Exxon will remain active in the aviation fuels business at various airports that are not part of the Proposed Transaction.
