SECTION 1.2

Description of the concentration

Knorr-Bremse AG (KB AG) intends to acquire sole control over Knorr-Bremse Systeme für Nutzfahrzeuge GmbH (KB SfN) and Knorr-Bremse Commercial Vehicle Systems Japan Ltd. (KBJ; together with KB SfN, the Target Entities) (the Proposed Transaction). Already today, the Target Entities are (directly or indirectly) jointly controlled and 80%-owned by KB AG, the remaining 20% being held (directly or indirectly) by Robert Bosch GmbH (Bosch). The Proposed Transaction concerns the acquisition of the remaining 20% of the shares in the Target Entities and will only lead to a change from joint to sole control by KB AG over the Target Entities.

KB SfN and KBJ are part of KB AG’s Commercial Vehicles Systems Division and, as such, supply braking and vehicle dynamics solutions, as well as other products and systems for medium and heavy commercial vehicles.
