Description of the concentration

1.(1) On 12 October 2017, the Commission received notification of a proposed transaction pursuant to Article 4 of the Merger Regulation by which Hellman & Friedman Capital Partners VIII, L.P. and its parallel funds, controlled by Hellman & Friedman LLC (Hellman & Friedman, United States) will acquire within the meaning of Article 3(1)(b) of the Merger Regulation sole control of Nets A/S. (Nets, Denmark) by way of purchase of shares.

(2) The business activities of the undertakings concerned are:

-- For Hellman & Friedman: private equity firm with investments in a variety of sectors worldwide.

-- For Nets: provision of payments, cards and information services in Denmark, Norway, Sweden, Finland and Estonia.
