Description of the concentration

The Gores Group is a private equity investor focused on acquiring controlling interests in mature and growing businesses, primarily in the technology, telecommunications, business services and industrial sectors, primarily in the United States and Western Europe.

The Siemens Enterprise Communications business develops, manufacturers and distributes communication products, services and solutions for companies and institutions of all sizes in all industry sectors. SEN's portfolio includes voice communication platforms (or "PBXs") using time division multiplex ("TDM"), IP converged and pure IP technologies, unified communications applications and solutions, data network components, end-user devices, as well as associated services such as installation, maintenance, managed services, consulting, training and systems integration.

The Gores Group will acquire sole control of SEN.
