SECTION 1.2

Description of the concentration

The proposed concentration concerns the acquisition of sole control by Metso Power Oy (“Metso Power”) in MW Power Oy (“MW Power”).

Metso Power belongs to the Metso Corporation which is a Finnish public company listed on the Helsinki Stock Exchange. Metso Corporation is active in process engineering, development and manufacture of machinery. Metso Power is active in the production of large and extra large biomass boiler plants as well as boiler systems for the paper and pulp industry as part of the group’s paper mill business.

MW Power designs, manufactures, markets and sells medium- and small scale heat and power plants, focusing mainly on renewable fuel solutions. MW Power is currently under joint control of Metso Power and Wärtsilä Finland Oy.

The proposed concentration has been notified by way of a Short Form as it fulfills the criteria laid down in Article 5(d) of the Commission’s Notice on a simplified procedure for treatment of certain concentrations (2005/C 56/04).
