SECTION 1.2

Description of the concentration

On 30 October 2009, the Commission received a notification of a proposed concentration pursuant to

Article 4 of Council Regulation (EC) No 139/2004 by which the undertaking Saint-Gobain Glass France, a subsidiary of Compagnie de Saint-Gobain (“Saint-Gobain”), and Trakya Cam Sanayii A.Ş. (“Trakya”) acquire, within the meaning of Article 3(1)(b) of the Council Regulation, joint control of

Saint-Gobain Glass Egypt by way of purchase of shares.

Saint-Gobain is mainly engaged in the production and sale of glass, ceramics, plastics and buildings

materials. Saint-Gobain is also active in the distribution of building materials in several EEA countries.

Saint-Gobain Glass Egypt, currently a subsidiary of Saint-Gobain, will be active in the manufacture

and sale of flat glass and automotive glass in Egypt and North Africa.

Trakya is a subsidiary of Turkiye Sise ve Cam Fabrikalari A.S. (“Sisecam”). Sisecam’s activities

encompass mainly the production and sale of glass, glassware, glass packaging and chemicals. It is

controlled by the Turkish bank Türkiye İş Bankası A.Ş.
