SECTION 1.2

Description of the concentration

This notification made on 14 January 2022 under Council Regulation (EC) No. 139/2004 of 20 January 2004 (EUMR) concerns the acquisition of joint control of Nexus Parent LLC and its subsidiaries ( “IntraFi” and, together with its subsidiaries, the “IntraFi Group” or “Target”) by investment funds directly or indirectly managed, affiliated or advised by Warburg Pincus LLC (together with its controlled funds and affiliates, “Warburg Pincus”) within the meaning of Article 3(1)(b) and Article 3(4) of the EUMR (the “ Proposed Transaction”). The IntraFi Group is, at present, indirectly controlled by investment funds advised or managed by affiliates of Blackstone Inc. (“ Blackstone”). The Proposed Transaction was signed on 24 November 2021, on which date the Parties entered into a Membership Interest Purchase Agreement.

Blackstone is a global asset manager active across a wide range of asset classes including, among others, private equity, real estate and public debt and equity, growth equity, opportunistic, non-investment grade credit, real estate assets and secondary funds It is headquartered in the United States and has offices in Europe and Asia.

Warburg Pincus is a New York limited liability company and the manager of the Warburg Pincus private equity funds. It is a global private equity firm headquartered in New York. Warburg Pincus' portfolio companies are active in a variety of sectors, including consumer, energy, financial services, healthcare, industrial and business services, real estate and technology.
