SECTION 4

Description of the concentration

The proposed transaction consists in the acquisition of joint control within the meaning of Article 3(1)(b) and Article 3(4) of Council Regulation (EC) No 139/2004 over Salvia Group GmbH (“Salvia Group”) by Eiffage Énergie Systèmes – Participations SAS (“Eiffage”) and Salvia Holding GmbH (“Salvia Holding”) (the “Proposed Transaction”).

Salvia Group is currently solely controlled by Salvia Holding. By means of the Proposed Transaction, Salvia Holding and a minority shareholder, an individual, Mrs. Bianca Viola Salvia will divest respectively part and all of their shareholdings in Salvia Group, amounting to 51% of the Salvia Group to Eiffage. In view of the anticipated governance rights under the draft shareholders’ agreement, Eiffage and Salvia Holding will jointly control the Salvia Group post-closing. Therefore, the Proposed Transaction leads to a change from sole control by Salvia Holding to joint control by Salvia Holding and Eiffage over the Salvia Group and thus constitutes a concentration under Council Regulation (EC) No. 139/2004.

The Eiffage Group is a French construction and concessions group operating in the following main lines of business: (i) construction, (ii) infrastructure, (iii) concessions and (iv) energy systems.

Salvia Holding (together with Salvia Invest GmbH) operates in the tiling, event planning and hotel/gym management sectors.

The Salvia Group provides technical services throughout the life cycle of buildings and facilities, from the planning phase to maintenance, notably the planning and installation of technical building equipment, related maintenance (technical facility management) and project management.
