Dear Sir or Madam,

(1) On 11 April 2024, the European Commission received notification of a proposed concentration pursuant to Article 4 of the Merger Regulation, and following a referral pursuant to Article 4(5) of the Merger Regulation, by which the undertakings AB Volvo (‘Volvo’, Sweden) and Westport Fuel Systems Inc. (‘Westport’, Canada) will acquire within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation joint control over entities and assets solely controlled by Westport (‘Target’, Canada), by way of purchase of shares in a newly created company constituting a 3 joint venture. ( )

(2) The business activities of the undertakings concerned are the following:

– AB Volvo is globally active in the manufacture and sale of trucks, buses, construction equipment, marine engines, industrial engines for off-road and power generation applications, and engines for on-highway vehicles,

– Westport is active in the sale of commercial transport solutions and products to be used in trucks, buses, construction equipment, and drive systems for marine

and industrial equipment. Notably, it supplies alternative fuel systems and components for automotive applications.

(3) The business activities of the Target are the development and sale of alternative fuel systems and components to the automotive industry, notably high-pressure direct injection fuel systems for the manufacture of cleaner internal combustion engine-powered trucks.

(4) After examination of the notification, the European Commission has concluded that the notified operation falls within the scope of the Merger Regulation and of paragraph 9 of the Commission Notice on a simplified treatment for certain 4 concentrations under Council Regulation (EC) No 139/2004. ()

(5) For the reasons set out in the Notice on a simplified treatment, the European Commission has decided not to oppose the notified operation and to declare it compatible with the internal market and with the EEA Agreement. This decision is adopted in application of Article 6(1)(b) of the Merger Regulation and Article 57 of the EEA Agreement.
