SECTION 1.2

Description of the concentration

On 22 December 2017, the Commission has received a notification of a proposed concentration pursuant to Article 4 of the Merger Regulation by which HOCHTIEF AG (HOCHTIEF, Germany), acquires within the meaning of Article 3(1)(b) of the Merger Regulation sole control of Abertis Infraestructuras, S.A. (Abertis, Spain) by way of a public tender competing offer announced by HOCHTIEF on 18 October 2017.

The business activities of the undertakings concerned are:

For HOCHTIEF: construction, concessions, real estate, facilities management, contract mining, engineering and related services.

For Abertis: provision of mobility and telecommunications infrastructures services, as well as operation of toll motorway concessions.

HOCHTIEF is headquartered in Germany and has an established presence on the construction markets in the Asia Pacific, the Middle East, the United States and Canada, as well as in Europe (the Czech Republic, Germany, Greece, the Netherlands, Poland and the UK). According to Article 3(2) of the EUMR, HOCHTIEF is solely controlled by Spain’s ACS Actividades de Construcción y Servicios, S.A. (ACS) which is the ultimate parent company of a group of companies active in construction and services activities (the ACS Group). ACS currently holds a stake of 71.72% in HOCHTIEF. In the EU, the ACS Group is active in motorway concessions in Spain, Greece, Ireland, Portugal and the UK.

Abertis is headquartered in Spain and, within the EEA, its activities are concentrated in Spain, France and, to a lesser extent, in Italy.
