SECTION 1.2

Description of the concentration

On 20 January 2014, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 by which Qatar Petroleum International Limited, GEK TERNA and GDF SUEZ would acquire joint control over Heron II Viotia Thermoelectric Station SA, a company incorporated under the laws of Greece and currently jointly-owned by the GEK TERNA and GDF SUEZ groups.

The business activities of the undertakings concerned are:

-- Qatar Petroleum International: investment in the global energy sector, outside of Qatar, with upstream, downstream petrochemicals, and gas and power businesses;

-- GDF SUEZ: active throughout the entire energy value chain, in electricity and natural gas, upstream to downstream in purchasing, production and marketing of natural gas and electricity; transmission, storage, distribution, management and development of major gas infrastructures; and energy services;

-- GEK TERNA: construction, industry, concessions, real estate and energy;

-- Heron II: operation and management of the Heron II thermal power plant located in Greece.

The proposed concentration falls within the scope of Council Regulation (EC) No 139/2004 on the control of concentrations between undertakings.
