International Consolidated Airlines Group, S.A. (“IAG”) is proposing to acquire sole control through the acquisition of an 80% stake in Air Europa Holding, S.L. and its wholly owned subsidiaries from Globalia Corporación Empresarial, S.A. (“Globalia”), who currently holds sole control over the company. Air Europa Holding, S.L.’s wholly owned subsidiaries are:
(i) Air Europa Líneas Aéreas, S.A.U.;
(ii) Aeronova S.L.U.;
(iii) León Activos Aeronáuticos, S.L.U.;
(iv) Air Europa Suma Miles, S.L.U;
((i) to (iv) together, “Air Europa”).
IAG is a multinational airline holding company that incorporates the Spanish carrier Iberia Líneas Aéreas de España, S.A. Operadora (“Iberia” or “IB”) and the Spanish low-cost carrier Vueling Airlines, S.A (“Vueling” or “VY”), as well as the UK carrier British Airways Plc (“British Airways” or “BA”), the Irish carrier Aer Lingus Limited (“Aer Lingus” or “EI”), and the Barcelona-based long-haul airline FLYLEVEL UK Limited (“LEVEL”). IAG is also the parent company of IAG Cargo Limited (“IAG Cargo”). IAG is a publicly traded company listed on the London Stock Exchange with secondary listings on Spanish Stock Exchanges. British Airways and Iberia are members of the oneworld alliance. IAG has its registered office in Madrid and its operational headquarters in London.
Each of the four companies together comprising Air Europa is a subsidiary of Globalia Corporación Empresarial, S.A., a Spanish family-owned tourism group. Air Europa is headquartered in Llucmajor (Spain).
Both IAG and Air Europa are active in the supply of air transport for passengers and air transport for cargo. IAG is also active in the supply of the following services, of which Air Europa is a purchaser: airport ground handling, maintenance, repair and overhaul (“MRO”) services, landside cargo and flight simulation training services.
The Proposed Transaction consists of the acquisition of control by IAG of Air Europa and accordingly constitutes a concentration within the meaning of Article 3 of the EU Merger Regulation (the “EUMR”). The Proposed Transaction has an EU dimension and, therefore, a notification pursuant to the EUMR is required as the Proposed Transaction satisfies the criteria set out in Article 1(2) of the EUMR.
