SECTION 1.2

Description of the concentration

(1) On 20 May 2014, the Commission received a notification pursuant to Article 4 of the EU Merger Regulation of a proposed concentration which would result in GBT III B.V. being jointly controlled within the meaning of Article 3(1)(b) of the EU Merger Regulation by American Express Company and Qatar Holding LLC.

(2) At closing, GBT III B.V. will be the holding company of American Express Company’s global business travel unit with presence in around 140 countries.

(3) American Express Company, together with its consolidated subsidiaries, is a global services company that provides customers with access to products, insights and experiences that enrich lives and build business success. The principal products and services of American Express are charge and credit payment card products and travel-related services offered to consumers and businesses around the world.

(4) Qatar Holding LLC is a global investment holding company founded by the Qatar Investment Authority, which is the sovereign investment fund of the State of Qatar. Qatar Holding LLC invests internationally in strategic private and public equity, as well as in other direct investments.
