SECTION 1.2

Description of the concentration

Penta Holding Ltd (Penta), a Czech-based private equity firm, intends to acquire sole control of Okna Rąbień Sp. z o.o. (Okna), a privately-held Polish-based manufacturer of windows and doors, by purchasing 100% of the latter’s shares.

The target company Okna assembles and distributes windows and glass doors in PVC and aluminium as well as related structural metal products. Okna’s entire manufacturing activities take place in Poland, but its products are sold in a number of European countries.

The Transaction gives rise to no horizontal overlaps, because Penta has no current portfolio companies which are active in the production of windows and glass doors.

Further, none of Penta’s portfolio companies are active in a market which could be considered as upstream or downstream of Okna’s product market. No competition concerns arise as a result of the acquisition.
