SECTION 1.2
Description of the concentration
CERP Rouen S.A. is a French société anonyme with cooperative character. SANACORP Pharmahandel AG is a German publicly listed stock corporation under the sole control of the German cooperative SANACORP eG.
CERP Rouen S.A. and SANACORP eG via its subsidiary SANACORP Pharmahandel AG intend to combine their operational wholesale business in a joint venture company. The way joint control will be acquired and exercised will lead to a concentration according to Article 3 (1) (b) EC Merger Regulation
The business activities of the undertakings are:
• CERP Rouen S.A.: wholesale of pharmaceuticals and services related thereto in France and in Belgium. CERP Rouen S.A also conducts some other businesses such as Home-Care, Depository and IT for pharmacies. These other businesses will not be part of the concentration.
• SANACORP Pharmahandel AG: wholesale of pharmaceuticals and services related thereto in Germany.
