Dear Sir or Madam,
(1) On 31 October 2024, the European Commission received notification of a proposed concentration pursuant to Article 4 of the Merger Regulation, by which Fnac Darty S.A. (‘Fnac Darty’, France) intends to acquire, within the meaning of Article 3(1)(b) of the Merger Regulation, sole control over the whole of the undertaking Unieuro 3S.p.A. (‘Unieuro’, Italy). () The concentration is to be accomplished by way of public bid announced on 16 July 2024.
(2) The business activities of the undertakings concerned are the following:
– Fnac Darty is active in the retail distribution of consumer electronics, household appliances and cultural goods and services through its two main brands Fnac and Darty, as well as marketplace services for e-sellers on its two websites. It operates more than 1 000 stores in five countries within the European Union, mainly in France but also in Belgium, Portugal, Spain and Switzerland,
– Unieuro is active in Italy through 525 points of sale offering consumer electronics and household appliances. It operates as an integrated omnichannel distributor of consumer electronics and household appliances. In parallel, it offers a wide range of services such as delivery and installation, extended warranty and consumer financing.

(3) After examination of the notification, the European Commission has concluded that the notified operation falls within the scope of the Merger Regulation and of paragraph 5(d) of the Commission Notice on a simplified treatment for certain 4concentrations under Council Regulation (EC) No 139/2004. ()
(4) For the reasons set out in the Notice on a simplified treatment, the European Commission has decided not to oppose the notified operation and to declare it compatible with the internal market and with the EEA Agreement. This decision is adopted in application of Article 6(1)(b) of the Merger Regulation and Article 57 of the EEA Agreement.
