SECTION 1.2
Description of the concentration
The Commission has received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) 13912004 by which Mitsubishi Agricultural Machinery Co., Ltd., ("MAM") which is solely owned and controlled by Mitsubishi Heavy Industries Ltd. ("MHI") will become jointly owned and controlled by MHI and Mahindra &, Mahindra Limited ("Mahindra") pursuant to a Share Subscription Agreement and a Shareholders' Agreement between these three undertakings.
The primary business activities of the undertakings concerned are:
a) for MAM, agricultural equipment;
b) for Mahindra, agricultural equipment and utility vehicles; and
c) for MHI, engineering, electrical equipment and electronics.
