SECTION 1.2

Description of the concentration

The European Commission has received notification of a proposed concentration pursuant to

Article 4 of the “EC Merger Regulation” by which Telefonaktiebolaget L. M. Ericsson (“Ericsson”) would acquire indirect sole control of certain subsidiaries of Technicolor SA (“Technicolor”). As a result of this transaction, Ericsson will acquire the entire broadcasting services business of Technicolor.

The primary activities of the undertakings concerned are:

• Ericsson: the manufacture and sale of telecommunications equipment and related services to mobile and fixed network operators. As a secondary activity, Ericsson also provides some broadcasting services, primarily in Sweden.

• Technicolor: technology services and systems and support for media, entertainment and telecommunications companies (including programme creators, content distributors and broadcasters).

The transaction will enable Ericsson to provide the full spectrum of managed broadcasting services to broadcasters and to expand its broadcasting services business into countries where it currently has no presence.
