SECTION 1.2

Description of the concentration

Deutsche Lufthansa AG (“LH”) through its wholly owned subsidiary Lufthansa Flight Training GmbH and CAE Inc. (“CAE”) through a subsidiary company CAE Aviation Training B.V. intend to establish equally owned Joint Venture Companies. The purpose of the joint venture is the development and delivery of pilot and cabin crew entitlement and other training service solutions for the Bombardier C-Series aircraft program.

LH is a global aviation group active in the passenger airline business, logistics, maintenance repair overhaul, catering, IT services and cockpit and cabin crew training services.

CAE is active in modelling, simulation and training for civil aviation and defence. Additionally, CAE is leveraging its simulation capabilities in healthcare and mining markets. CAE’s business is diversified, ranging from the sale of simulation products to providing comprehensive services such as training and aviation services, professional services, in-service support and crew sourcing.
