SECTION 1.2

Description of the concentration

On 10 June 2022, the European Commission received notification of a proposed concentration pursuant to which Valor Acquisition Buyer Inc., an entity which is ultimately controlled by funds advised and/or managed by SK Capital Investment L.P. (“SK Capital”) will acquire sole control over Polymer Additives Holdings Inc. and its subsidiaries (“Valtris”), within the meaning of Article 3(1)(b) of the EU Merger Regulation. The transaction relates to the purchase of all the issued interest in the share capital of Valtris by SK Capital.

The business activities of the Parties are as follows:

-SK Capital is a USA-based private investment firm focused on the specialty materials, chemicals and pharmaceutical sectors.

-Valtris is a USA-based company active in the supply of specialty chemicals, primarily used as additives in the production and processing of plastics, and chemical precursors used in coatings, flavour and fragrance, personal care and pharmaceutical applications.
