SECTION 1.2

Description of the concentration

1.1. ArcelorMittal Neel Tailored Blanks Private Limited and Toyota Tsusho Steel Service India Private Limited intend to establish a 50/50 jointly controlled joint-venture that will be active exclusively in India in Tailored Welded Blanks.

2.2. ArcelorMittal Neel Tailored blanks Private Limited is a 50/50 jointly controlled joint venture between ArcelorMittal and JBM Group:

• ArcelorMittal is a global steel and mining company, whose principal business is the production, distribution, marketing, and sale of steel products. It produces a range of steel-related semi-finished and finished products, including Tailored Welded Blanks. It supplies steel for various applications including automotive, construction, household appliances, and packaging.

• JBM Group is a manufacturing company active in a wide variety of domains such as auto components and systems, OEM, railways, engineering- and design services and renewable energy. JBM Group does not have activities in the EEA.

3.3. TT Steel Service India Private Limited is, among others, operating a Steel Service Center (SSC) located in India. It is a member of the Toyota Tsusho Group which is part of the Toyota Group which is a Japan-based conglomerate active in a variety of industries such as the automotive and machinery industries. It consists of a group of companies that have supplier, vendor and investment relationships with Toyota Industries and Toyota Motor manufacturing facilities. No particular entity has outright control over the entire group.

4.4. The JV will be active in India.
