SECTION 1.2
Description of the concentration
(1) On 22 December 2011 the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 by which TG Europower B.V. (a subsidiary of Tokyo Gas Co., Ltd. (“Tokyo Gas”, Japan)), will acquire a jointly controlling stake in the T-Power joint venture. T-Power will be indirectly jointly controlled by Tokyo Gas, Siemens AG, Tessenderlo Chemie N.V. and International Power Consolidated Holdings Limited.
(2) The undertakings concerned carry out the following business activities:
a) Tokyo Gas is an integrated energy company primarily active in Japan.
b) SPV is a subsidiary of Siemens and is principally active as an investor and co-developer in major infrastructure projects.
c) Tessenderlo Chemie is internationally present as a manufacturer of chemical and specialty products.
d) International Power, a subsidiary of GDF Suez, is active in the generation of energy worldwide.
e) T-Power is active in the generation and wholesale supply of electricity in Belgium.
