SECTION 1.2
Description of the concentration
The European Commission has received a notification of proposed transaction whereby Hyundai Motor Company (”HMC”) will acquire sole control over Hyundai Assan Otomotiv Sanayi Ve Ticaret A.Ş. (the ”Target”, and together with HMC, the ”Parties”) through the purchase of shares from Kibar Holding A.Ş. (”Kibar”) and Assan Gayrimenkul Geliştirme ve Yatırım A.Ş. (”Assan”) (collectively, the ”Sellers” and individually, a ”Seller”) (the ”Transaction”).
The Target is currently controlled jointly by HMC and Kibar. The Transaction will involve a change from joint control (by HMC and Kibar) to sole control (by HMC) over the Target.
HMC is active in the motor vehicle sector. The Target is active in the manufacturing and exporting of motor vehicles.
