SECTION 1.2

Description of the concentration

The notified concentration consists of two separate, but interlinked transactions (in the sense that each transaction is conditional upon completion of the other). The target companies in both transactions are subsidiaries of Triade Holding. In one transaction, Brightstar Europe will acquire 100% of the shares of the current Triade subsidiaries, Mobile Communications Company B.V. (with its subsidiary AVC Nederland B.V.) and MCC Belgium N.V. In the other transaction, Tech Data Europe will acquire 100% of the shares of Triade Holding and thus will acquire control over Triade Holding and its subsidiaries Battrex B.V., Hakro-Oosterberg-Nijkerk B.V., European Communications Association B.V. (with its subsidiaries ECA Productie B.V. and Quote Components B.V.), MCC Spain SL (dormant) and Rosenmeier IT Holding AS (with its subsidiaries Rosenmeier Electronics AS and Triade Rosenmeier Electronics AS Norway).

The current Triade subsidiaries Switch Beheer B.V. (with its subsidiaries Campus Business Center B.V. and Switch Automatisering B.V.) and Webnamen B.V. are not part of either of the transactions. These will be brought under a newly incorporated holding company.

The business activities of the undertakings concerned are:

• for Tech Data Europe: wholesale distribution of (and related services for) IT products and, to a minor degree, consumer electronics;

• for the Triade subsidiaries to be acquired by Tech Data: wholesale distribution of (and related services for) consumer electronics and, to a minor degree, IT products and mobile telephone accessories;

• for Brightstar Europe: wholesale distribution of (and related services for) mobile telephone equipment, tariffs/contracts and accessories;

• for the Triade subsidiaries to be acquired by Brightstar: wholesale distribution of (and related services for) mobile telephone equipment and accessories.
