SECTION 1.2
Description of the concentration
This notification relates to a proposed concentration whereby certain funds of the H.I.G. Capital private investment group and certain funds of 3i Group plc would acquire indirect joint control, within the meaning of Article 3(1)(b) of the EC Merger Regulation, over Volnay B.V. and its subsidiaries by means of a purchase of securities.
The business activities of the undertakings concerned are:
- 3i Group Plc: private equity and venture capital firm;
- H.I.G. Capital: private equity investment firm; and
- Volnay B.V.: magazine publishing and the provision of advertising space (through its subsidiary VNU Media B.V.).
The proposed concentration does not create any reportable markets.
