SECTION 1.2

Description of the concentration

− The notified concentration consists of the creation of a full function joint venture via the incorporation of two interconnected joint ventures (the “JVs”) named Gestamp Auto Components (Tianjin) Co., Ltd (the “Manufacturing JV”) and Gestamp Auto Components Sales (Tianjin) Co., Ltd (the “Sales JV”) in the People’s Republic of China (the “PRC”) by Beijing Hainachuan Automotive Parts Co., Ltd (“BHAP”) and Gestamp (China) Holding Co., Ltd. (“Gestamp China” and, together with BHAP, the “Parties”).

− Gestamp China is a subsidiary of Gestamp Automoción, S.A. (“Gestamp Automoción”) a global leading group engaging in the design, development and manufacture of metal components and structural systems for the automotive industry. Gestamp Automoción is in turn part of the Spanish group headed by Acek Desarrollo y Gestión Industrial, S.L. (the “ACEK group”) active worldwide in the steel, automotive components and renewable energy sectors.

− BHAP is a subsidiary of Beijing Automotive Group Co., Ltd. (the “BAIC Group”) whose products include automobile seats, interior and exterior of automobiles, automobile powertrain systems, automobile chassis systems, automobile body systems, automotive electronics and other series, and it is a supplier of automotive components in China.

− The Manufacturing JV will manufacture flat steel automotive components including auto lightweight body parts, chassis and other auto components in the PRC. The Sales JV will sell those automotive components and provide after-sales services, technical services, and consultation services to the automotive industry.
