SECTION 1.2

Description of the concentration

− The notified concentration concerns the creation of a jointly controlled wind farm joint venture in Greece between (a) acquisition vehicles controlled by investment funds managed by affiliates of Centerbridge Partners L.P. (“Centerbridge Partners”) and (b) Enel Green Power Hellas S.A. (“EGPH”).

− Centerbridge Partners is an investment management firm with offices in New York and London, focused on private equity and distressed investment opportunities. It is dedicated to employing an all-weather approach to identifying and executing investment opportunities. One of funds managed by an affiliate of Centerbridge Partners has invested in the German-based wind turbine manufacturer Senvion S.A;

− EGPH is controlled by the Enel Group of companies. The Enel Group is an Italian multinational active in the production and distribution of electricity and gas. The Enel Group produces electricity through different energy sources and is active in Europe, North America, Latin America, Africa and Asia.
