SECTION 1.2
Description of the concentration
Avnet Inc. ("Avnet") has submitted a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No. 139/2004, according to which it intends to acquire within the meaning of Article 3(1)(b) of the Regulation through its wholly-owned subsidiary Avnet (Holdings) Limited control of Abacus Group plc ("Abacus"), a UK based public company, by way of purchase of the entire issued and to be issued share capital.
Avnet and Abacus are distributors of electronic components and Abacus also has a small complementary manufacturing and assembling capability.
The market affected by the proposed transaction is the wholesale distribution of electronic components. The combined expertise of both companies would allow the new entity to grow and expand its business, in particular through improved product offerings while not reducing competition.
