SECTION 1.2
Description of the concentration
On 26 October 2018, the European Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (“Merger Regulation”).
The notification concerns the following undertakings:
(i) DP World Investments B.V., a company incorporated in the Netherlands which is part of DP World group (“DP World”), a global marine terminals operator based in the United Arab Emirates.
(ii) Unifeeder A/S (“Unifeeder”), a company incorporated in Denmark, and a portfolio company of Nordic Capital, a private equity house headquartered in Jersey.
Pursuant to the transaction, DP World will acquire sole control over Unifeeder within the meaning of Article 3(1)(b) of the Merger Regulation. The concentration will be accomplished by way of purchase of shares.
The business activities of the undertakings concerned are as follows:
(i) DP World is an operator of marine terminals and provides cargo handling and logistics services (i.e., discharging and loading of vessels and related activities such as handling of trucks / rail / barges, warehousing, container repair and container storage). DP World operates worldwide.
(ii) Unifeeder is active in the provision of maritime transportation services for containerised goods including feeder services (transport of cargo between hub ports and outports) and short sea services (transport of cargo from point to point). Unifeeder operates primarily in Northern Europe and the Mediterranean.
